1. Overview

These Terms & Conditions ("Terms") govern your access to and use of the ZeroGravity SaaS platform, services, websites, and related applications (collectively, the "Service") provided by ZeroGravity Technologies Pvt. Ltd. ("ZeroGravity", "we", "our", or "us").

By creating an account, accessing, or using the Service in any manner, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind such entity.

2. Eligibility and Account Registration

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. You are responsible for providing accurate registration information and for keeping your account credentials confidential.

You are responsible for all activities that occur under your account. You must promptly notify us of any unauthorized access or use of your account.

3. Subscription Plans and Billing

Access to certain features of the Service may require a paid subscription. Subscription plans, billing cycles, and applicable fees will be described on our pricing page or in an order form agreed between you and ZeroGravity.

Unless otherwise stated, subscriptions renew automatically at the end of each billing cycle at the then-current rates. You may cancel future renewals at any time via your account settings, in which case access will continue until the end of the current billing period.

Except where required by law, all fees are non-refundable. We may update our pricing from time to time and will provide reasonable prior notice before any price changes take effect on your next renewal.

4. License and Permitted Use

Subject to your compliance with these Terms and timely payment of all applicable fees, ZeroGravity grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes.

You may not resell, sublicense, or otherwise provide the Service to third parties as a stand-alone offering, except as expressly permitted in a separate written agreement with ZeroGravity.

5. Acceptable Use

You agree not to misuse the Service or assist anyone else in doing so. Prohibited activities include, without limitation:

• Attempting to access the Service or data without authorization.
• Interfering with or disrupting the integrity or performance of the Service.
• Uploading, transmitting, or storing any malicious code, spam, or unlawful content.
• Reverse engineering, decompiling, or attempting to derive source code from the Service, except to the extent permitted by law.
• Using the Service to infringe or violate the rights of others, including privacy, intellectual property, and confidentiality rights.

We reserve the right to suspend or terminate access to the Service if we reasonably believe that your use violates these Terms or creates a risk of harm to the Service, other users, or third parties.

6. Customer Data and Privacy

"Customer Data" means any data, content, or materials that you or your authorized users submit to or store within the Service. You retain ownership of your Customer Data, and we process it only to provide and improve the Service, comply with law, or as otherwise described in our Privacy Policy.

7. Intellectual Property

ZeroGravity and its licensors own all right, title, and interest in and to the Service, including all software, user interfaces, visual design, documentation, and underlying technology, except for Customer Data and third-party components.

Except for the limited license explicitly granted in these Terms, no rights or licenses are granted to you, whether by implication, estoppel, or otherwise.

8. Third-Party Services

The Service may enable integrations with third-party applications or services. Your use of such third-party services is subject to their own terms and privacy policies. We are not responsible for third-party services and do not make any warranties about them.

9. Service Availability and Support

We endeavor to provide reliable and performant Service. However, we do not guarantee that the Service will be uninterrupted or error-free. Planned maintenance, updates, and emergency interventions may temporarily affect availability.

Support channels, response times, and service levels may vary by subscription plan and are described in your order form or applicable documentation.

10. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. ZeroGravity disclaims all warranties and conditions, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing.

11. Limitation of Liability

To the maximum extent permitted by law, ZeroGravity will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

To the extent permitted by law, our aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the total fees paid by you for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ZeroGravity and its directors, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses arising out of or related to your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

13. Term, Suspension, and Termination

These Terms remain in effect while you have an active account or continue to access the Service. Either party may terminate for cause if the other party materially breaches these Terms and fails to cure such breach within a reasonable period after receiving written notice.

Upon termination of your subscription or account, your access to the Service will cease. We may retain certain Customer Data as required by law, to resolve disputes, or for legitimate business purposes, in accordance with our Privacy Policy.

14. Changes to the Service and Terms

We may enhance or modify the Service from time to time. We may also update these Terms. When we make material changes, we will provide notice by updating the "Last updated" date or by sending you a communication. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.
